Terms of Service

2. Services Description

Xovrix provides custom software development, web application engineering, mobile app development, AI automation, UI/UX design, digital marketing, and related technology consulting services. All services are delivered subject to a separate Statement of Work (SOW) or Service Agreement signed by both parties.

3. Intellectual Property

Client-Owned IP: Upon full payment for services, the client retains full ownership of all custom source code, designs, and deliverables created specifically for their project, unless otherwise agreed in writing.

Xovrix-Owned IP: Xovrix retains ownership of any pre-existing tools, libraries, frameworks, and methodologies used in the delivery of services. Any reusable components or modules developed during the project may be used by Xovrix for future projects, provided they do not contain client-specific confidential information.

4. Client Responsibilities

• Provide timely access to required information, assets, and feedback
• Ensure that all materials provided do not violate any third-party rights
• Make timely payments as outlined in the agreed payment schedule
• Assign a project point of contact for effective communication

5. Payment Terms

Payment terms are outlined in the individual Service Agreement or SOW. Typical terms include a 50% upfront deposit and 50% upon project completion, unless otherwise specified. All fees are non-refundable unless explicitly stated in the agreement.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary information shared during the course of engagement. This obligation survives the termination of the service agreement for a period of 2 years.

7. Limitation of Liability

Xovrix will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or website. Our total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

8. Warranty & Support

We warrant that our services will conform to the specifications outlined in the SOW. Any defects reported within 30 days of delivery will be corrected at no additional charge. Extended maintenance and support can be arranged under a separate agreement.

9. Termination

Either party may terminate the service agreement with 14 days written notice. In the event of termination, the client shall pay for all services rendered up to the termination date. Any unpaid invoices become immediately due.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these terms shall be resolved through arbitration in Islamabad, Pakistan.
